Terms of Service

The rules for using CourseEasy. Your material stays yours, AI output needs your review before it reaches learners, and the rest is set out below.

01Agreement to these terms

These Terms of Service govern your use of the CourseEasy website, application, and related services (together, the Service). By accessing or using the Service, you agree to them. If you are agreeing on behalf of an organization, you confirm you have authority to bind that organization.

Where your organization has signed a separate written agreement or order form with CourseEasy, that agreement takes precedence over these terms wherever the two conflict.

02What the Service does

CourseEasy helps you plan, generate, review, publish, and deliver learning content. Features may include course outlining, lesson and assessment generation from material you supply, quality review, video production, export to formats such as SCORM and PDF, a branded learner portal, and an AI tutor. We improve the Service continuously and may add, change, or retire individual features.

03Accounts and eligibility

You must provide accurate account information and keep your credentials confidential. You are responsible for activity that happens under your account and for the conduct of users your organization invites. Tell us promptly at support@courseeasy.com if you suspect unauthorized access.

The Service is intended for organizations and for individuals who are old enough to form a binding contract. It is not offered directly to children.

04Your content and who owns it

You keep ownership of your material. The documents, decks, notes, media, and other content you upload remain yours, and the courses generated from them are yours to use, publish, sell, and distribute.

You grant CourseEasy a limited licence to host, copy, process, and transmit that material strictly for the purpose of operating the Service and delivering the features you request — for example, compiling your sources into course context, generating lessons from them, and packaging the result for export.

You are responsible for having the rights to the material you upload, including any third-party content, and for making sure its use does not infringe copyright or breach a confidentiality obligation.

05AI-generated output and your responsibility to review

The Service uses AI models to draft and transform content. This is important to understand: AI output can be wrong. It may contain factual errors, outdated information, incorrect calculations, or statements that read confidently but are inaccurate — even when generated from correct source material.

  • You are responsible for reviewing and approving generated content before it reaches learners.
  • Do not rely on generated content as legal, medical, financial, safety, or other professional advice.
  • Where a course carries regulatory, accreditation, or compliance weight, have a qualified person verify it.
  • Similar prompts may produce different results, and we do not warrant that output is unique to you.

The review tools we provide — quality scoring, validation, and persona checks — are aids to your judgement, not a substitute for it.

06Acceptable use

You agree not to use the Service to:

  • Upload material you do not have the right to use, or that infringes someone else's rights.
  • Create content that is unlawful, deceptive, harassing, hateful, or designed to endanger people.
  • Attempt to breach, probe, or disrupt the Service, or access another customer's workspace.
  • Reverse engineer the Service, or use it to build a directly competing product.
  • Resell or provide access to the Service outside the scope of your plan.
  • Circumvent usage limits, or use automated means to extract data at scale.

We may suspend access where use threatens the security, stability, or lawful operation of the Service.

07Our intellectual property

The Service itself — including the platform, its underlying software, the agent workflows, the interface, and the CourseEasy name and logo — belongs to CourseEasy and its licensors. These terms grant you a right to use the Service, not ownership of it. Feedback you send us may be used to improve the product without obligation to you.

08Third-party services

The Service can connect to systems we do not control, such as your LMS, storage providers, or other integrations. Your use of those systems is governed by their own terms, and we are not responsible for their availability, security, or behavior.

09Plans, fees, and payment

Paid plans are billed according to the plan or order form you agree to. Unless that document says otherwise, fees are payable in advance, are non-refundable except where required by law, and exclude taxes, which are your responsibility. We may change pricing on renewal with reasonable notice.

10Confidentiality

Each party may receive information the other treats as confidential. Both agree to protect it with at least reasonable care and to use it only for the purposes of this agreement. We treat the material you upload and the courses you build as your confidential information.

11Disclaimer of warranties

Except where prohibited by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, or that generated content will be accurate or suitable for a given purpose.

12Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised such damages were possible.

To the maximum extent permitted by law, CourseEasy's total aggregate liability arising from or relating to the Service is limited to the amounts you paid us for the Service in the twelve months before the event giving rise to the claim. Nothing here limits liability that cannot lawfully be limited.

13Indemnification

You agree to indemnify and hold CourseEasy harmless from third-party claims arising out of material you upload, courses you publish, or your use of the Service in breach of these terms or applicable law.

14Term and termination

These terms apply for as long as you use the Service. You may stop at any time. We may suspend or terminate access for material breach, non-payment, or unlawful use, with notice where practical. On termination, your right to use the Service ends; you may export your content during any wind-down period described in your agreement, after which we may delete it. Sections that by their nature should survive — ownership, confidentiality, disclaimers, liability limits, and indemnities — do.

15Changes to these terms

We may update these terms as the Service and the law change. The date at the top of this page reflects the current version. Where changes are material, we will give reasonable notice, and continuing to use the Service after they take effect means you accept them.

16Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules, and the courts located there have exclusive jurisdiction over disputes — except that either party may seek injunctive relief where appropriate to protect its intellectual property or confidential information.
